Why use an AMC?

Actively Managed Certificates are securities and can be offered to the public and professional markets.

Set up costs are considerably less prohibitive. An AMC is as flexible as a Hedge Fund and offers more distribution and passporting possibilities than an AIF or bond and can be launched within 4 to 6 weeks.

AMCs are an innovative financial tool that offer numerous advantages and opportunities for issuers/sponsors. AMC’s can diversify risk, convert illiquid assets into liquid ones, and enhance product and service offerings.

What is an AMC?

AMCs are securities with an International Securities Identification Number (ISIN), our platform is listed on SIX (Swiss Stock Exchange), which can hold as underlying almost any kind of assets.

Equity and debt listings are protracted, expensive and restrictive. They are rarely appropriate for shares of young, yet disruptive startups, future earnings of ESG enterprises, a classic car collection or the mezzanine financing of a real estate project.

AMC in detail

AMCs offer a traditional model portfolio from your real asset or trading strategy. Traditionally, an asset manager would seek individuals or institutions to invest directly via equity participation or debt instruments into companies, real estate or alternative asset.

The ISIN makes them accessible to qualified, institutional, and professional investors through banks or stockbrokers.

AMCs can be launched for a wide range of investment strategies in a matter of weeks and at a fraction of the cost of a bond or IPO for the asset manager.

Actively Managed Certificates offer an asset manager the opportunity to define the composition of the cell whether company, real estate, or intellectual property and the strategy for the instrument. Therefore, the asset manager may at any point in time add or remove certain underlyings’ from the Certificate. In essence, the underlying assets are transferred in a regulated cell to the issuance platform and the custodian or broker of choice, with the dematerialise proportion of capital issued to the investor in pro-rata to the size of the issuance of the AMC.

Note: AMCs do not constitute collective investment schemes within the meaning of the Swiss Federal Act on Collective Investment Schemes ("CISA") and are therefore neither governed by the CISA nor subject to the supervision by the Swiss Financial Market Supervisory Authority ("FINMA").
